Your Impact at SAM

We are seeking a highly skilled and experienced Senior Counsel specializing in commercial contracts to join our legal team at a leading managed geospatial services company. In this role, you will manage, draft, negotiate, and advise on a wide range of commercial agreements, and assist the legal team with a variety of other legal matters affecting the organization. The successful candidate will have a strong background in commercial contracts, corporate law, and regulatory compliance. This position requires expertise in navigating the unique legal and operational challenges of the geospatial services industry, ensuring compliance, mitigating risk, and supporting business objectives in a fast-evolving field. The ideal candidate will be able to perform these duties satisfactorily.

Draft, review, and negotiate a variety of complex commercial contracts and other documents related to company projects, including service agreements, proposals, vendor agreements, subcontractor agreements, teaming agreements, and non-disclosure agreements tailored to the geospatial services industry.

Address contractual provisions specific to geospatial operations, such as data rights, intellectual property, confidentiality, licensing, and liability.

Partner with project managers and business leaders to align contracts with operational and strategic goals.

Develop and maintain contract templates and playbooks for common agreements, ensuring consistency and efficiency in legal operations.

Provide legal advice and guidance to various departments within the company on a wide range of contractual and other legal issues.

Ensure compliance with applicable laws, regulations, and company policies.

Assist in the development and implementation of legal strategies and policies.

Manage and mentor other members of the legal team.

What You Bring to SAM

JD degree from an accredited law school.

Active membership in good standing with the Texas bar association (or applicable bar association where you reside).

5+ years of experience practicing law, with at least 2 years of in-house experience focusing on commercial contracts.

Experience in the architecture, engineering, and construction industry is preferred.

Strong understanding of contract law, corporate governance, and regulatory compliance.

Excellent written and verbal communication skills.

Proven ability to work independently and collaboratively in a fast-paced environment.

Strong analytical and problem-solving skills.

Ability to prioritize and manage multiple projects simultaneously.

Experience managing and mentoring junior attorneys or staff is a plus.

High ethical standards and sound judgment.

Ability to maintain confidentiality and exercise discretion in sensitive matters.
